How to Register an LLC in Puerto Rico

2. Appoint a registered agent. A registered agent is a person or entity that will receive legal documents on behalf of your LLC. You must appoint a registered agent who is a resident of Puerto Rico and has a physical street address in Puerto Rico.
3. File your Certificate of Formation. You must file a Certificate of Formation with the Puerto Rico Department of State. The filing fee is $250. The Certificate of Formation must include the following information:
   • The name of your LLC
   • The principal office address of your LLC
   • The name and address of your registered agent
   • The purpose of your LLC
   • The term of existence of your LLC
   • The name and address of the organizer
   • The date on which the LLC will be effective
4. Draft an operating agreement. An operating agreement is a document that outlines the rules and regulations of your LLC. It is not required by law, but it is a good idea to have one in place.
5. Get an employer identification number (EIN). An EIN is a nine-digit number that is assigned to businesses by the Internal Revenue Service. You will need an EIN if you plan to hire employees or open a business bank account.
6. Obtain the necessary licenses and permits. Depending on the type of business you are starting, you may need to obtain certain licenses and permits from the government.
